Terms of Service

These Terms of Service ("Terms") govern your access to and use of DealMind (the "Service"), available at www.dealmind.pro and operated by Innov8 of Suite 3B, Tak Cheung Building, 22-24 Wing Lok Street, Sheung Wan, Hong Kong SAR ("we", "us", "our"). By accessing or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

DealMind is an AI-powered negotiation intelligence platform providing negotiation frameworks, strategy suggestions, and coaching tools through three modes: Prep, Nego Coach, and Debrief. The Service uses third-party frontier artificial-intelligence models to generate outputs (see clause 7 and the Privacy Policy).

DealMind provides negotiation frameworks for informational purposes only. It does NOT constitute legal, financial, commercial, tax, or professional advice of any kind. Always seek qualified professional advice before taking action in any negotiation. AI-generated outputs may contain errors and must be independently verified.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract. By using the Service you represent that you meet these requirements. The Service is intended for business and professional use.

3. Accounts

You must register with a valid email address. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorised use at innov8.asia@gmail.com. We may suspend or terminate accounts that breach these Terms.

4. Subscription Plans and Payment

The Service is offered under the following tiers:

Free: 10 AI sessions per month at no charge
Pro: HK$288 per month, unlimited sessions
Team: HK$799 per seat per month
Enterprise: custom pricing — contact us

Payments are processed by Stripe. Subscriptions renew automatically until cancelled. You may cancel at any time; access continues until the end of the current billing period. Prices are in Hong Kong Dollars (HKD) unless otherwise stated. UK and other non-HK users are responsible for any applicable taxes in their jurisdiction. Refunds are at our reasonable discretion.

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in breach of any applicable law
Reverse engineer, copy, or attempt to extract the AI system prompts, the Negotiation OS, or proprietary frameworks
Use the Service to generate content intended to deceive, defraud, harass, or harm any person
Submit content that infringes the rights of any third party or that is unlawful, defamatory, or confidential without authority
Circumvent usage limits, payment systems, or security controls
Use the Service to make automated decisions about individuals that produce legal or similarly significant effects without appropriate human oversight

6. Intellectual Property

All content, design, AI frameworks, system architecture, the Negotiation OS, the 8-track scoring system, and all proprietary methodologies within DealMind are the exclusive property of Innov8 and are protected under Hong Kong, UK, and international law. You may not reproduce, distribute, or create derivative works without our written consent.

Content you submit (deal descriptions, messages, documents, notes) remains your property. You grant us a limited, non-exclusive licence to process it solely to deliver the Service to you, including transmission to our AI sub-processor for generating outputs. You confirm you have the right to submit any content and documents you upload.

7. Artificial Intelligence and Third-Party Models

The Service generates outputs using frontier AI models provided by Anthropic, PBC ("Anthropic") via the Claude API. When you use Prep, Nego Coach, or Debrief, the content you submit (including uploaded documents) is transmitted to Anthropic for processing in order to generate your output.

Your use of AI-generated outputs is subject to both these Terms and Anthropic's applicable terms. Anthropic's Commercial Terms of Service and Usage Policy are available at www.anthropic.com. In particular you acknowledge:

AI outputs are generated probabilistically and may be inaccurate, incomplete, or unsuitable — you must independently verify them
You must not use outputs in any way prohibited by Anthropic's Usage Policy
Anthropic processes API inputs and outputs as a data processor; per Anthropic's commercial terms, API inputs and outputs are not used to train its models
We may change AI providers or models at any time to maintain or improve the Service

We do not use your negotiation content to train any AI model, and our AI sub-processor (Anthropic) does not train on commercial API data. See the Privacy Policy for full detail.

8. Third-Party Service Providers

The Service relies on the following sub-processors, each governed by their own terms and privacy policies:

Anthropic, PBC — AI model processing (Claude API)
Supabase Inc. — database, authentication, and hosting infrastructure
Stripe, Inc. / Stripe Payments Europe — payment processing
Lovable / associated hosting — application deployment (beta)
Resend / email provider — support and transactional email

We are not responsible for the acts or omissions of third-party providers beyond our reasonable control, but we select providers that maintain appropriate security and data-protection standards.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY PARTICULAR NEGOTIATION OUTCOME WILL BE ACHIEVED. Nothing in these Terms excludes liability that cannot be excluded under applicable law, including under the UK Consumer Rights Act 2015 for UK consumers.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INNOV8 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR ADVERSE NEGOTIATION OUTCOMES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM OR (B) HK$1,000. Nothing limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law.

11. Termination

We may suspend or terminate access for breach of these Terms. You may cancel at any time from Settings. On termination your data is retained for 30 days then permanently deleted, unless earlier deletion is requested or longer retention is required by law.

12. Governing Law and Jurisdiction

For users in Hong Kong SAR and elsewhere (other than the UK), these Terms are governed by the laws of Hong Kong SAR and subject to the exclusive jurisdiction of the Hong Kong courts.

For consumers resident in the United Kingdom, nothing in these Terms removes the mandatory protections of UK law, and you may bring proceedings in the UK courts. For UK business users, the Hong Kong governing law and jurisdiction clause applies.

13. Changes

We may modify these Terms. Material changes will be notified by email or in-app notice. Continued use after changes constitutes acceptance.
